These General Terms and Conditions (hereinafter: GTC) shall enter into force on 01.05.2020.
The GTC contains the rules applicable to the electronic commerce service provided by Imperity Ltd. through its Webshop, to persons browsing or registering on the website, as well as to the professional services provided by Imperity Ltd. (hairdressers, traders).
I. General provisions
- These GTC is available from the webshop (hereinafter: Webshop) at www.imperity.hu (hereinafter: the Website) and apply to online purchases, trainings, applications for professional services from the webshop as well as registration and browsing on the Website.
- Consumers, non-consumer organizations, sole proprietors and legal entities (hereinafter collectively: Users) are entitled to use the services of the Website. The provisions of the GTC apply to all Users, except for the rules that can only apply to consumers.
- Pursuant to Act V of 2013 on the Civil Code, a consumer is a natural person who, acting outside the scope of his or her profession, independent occupation or business activity, comes into contact with the services of Imperity Ltd.
- So, if you want to use our Website (Webshop) as a hairdressing entrepreneur, you do not qualify as a consumer. In this case, please select the professional option when registering.
II. Registration
5. On the Website there is a possibility for public registration and professional registration.
a. Public registration
You can make purchases in the Webshop as a Public User in two ways:
i. Without creating a personal account
ii. By creating a personal account
You can track your orders placed in the Webshop and place additional orders.
b. Professional registration
The use of the interface of the Webshop for hairdressers and merchants, as well as the application for the courses is only possible with an account created with professional registration.
After filling in the e-mail address and password, the data listed in point 33 must be entered and the GTC must be accepted, then the document certifying the specialized qualification - or in case of a trader, the business license must be uploaded and sent to the webshop@imperity.it e-mail address.
An employee of Imperity Ltd. checks the documents and gives access to the professional interface within 3 working days of receipt.
With the successful registration we create your own professional account, with the use of which you can:
- buy in the Webshop at a professional price,
- track your orders and payments,
- we provide information on various professional topics of your concern,
- furthermore you can apply for events and professional courses organized or announced by Imperity Ltd., and you will receive offers for them from us.
6. You can change the information you provided during registration at any time by clicking the "change account information" button in the account you received after registration. Please always change your details before ordering.
7. If you wish to delete your account, you can do so either by emailing webshop@imperity.it or requesting it within your account, in which case you will automatically receive an email where you can delete your details.
III. Declarations
8. By accepting the GTC, you declare that you have read the rules described here and acknowledge that they are binding on you, and that:
a. you declare that you understand the language of the GTC.
b. You acknowledge that you use the services of the Website at your own discretion, in accordance with the rules described herein.
c. It confirms that the personal data provided is valid, true, not misleading or does not infringe on the rights of others.
d. You acknowledge that if you do not provide all the data requested to use the Webshop or the services available on the Website or disable certain applications, the services on the Website may not be available to you or may be limited.
e. You agree to abide by the rules of conduct required by Imperity Ltd., And in the event of a breach thereof, you acknowledge that access to the services of the Website may be restricted or even excluded.
f. You agree to compensate Imperity Ltd. or any other person in full if you cause damage to Imperity Ltd. or any other person by using the Website, uploaded content or in any other way.
9. The legal relationship between you and Imperity Ltd. is governed by Hungarian law.
IV. Webshop
10. Imperity Ltd. operates a webshop, in which it only allows the retail sale (retail) of Imperity © brand hairdressing products online.
11. To use the Web Store, you need an Internet connection and a browser system. We have optimized the Website and the Webshop for the following browsers: Google Chrome, Safari, Internet Explorer, Mozzila Firefox.
12. Imperity Ltd. is constantly developing both the Website and the Webshop, therefore the services may temporarily slow down or become unavailable. Imperity Ltd. is not responsible for the resulting problems and is not obliged to send prior information to the Users.
13. The Website and the Web Store are in the following languages available: HU, EN, IT, DE, SK, ES, FR
14. Imperity Ltd. Operates the Website from Hungary, and does not guarantee the possibility of using it abroad or the adequacy of its speed.
15. The Website contains the characteristics and relevant data of the orderable products.
16. By placing an order, you acknowledge that you have read the GTC and the provisions of the Data Management Information and the Cookie Information and expressly accept them. The two documents can be accessed and downloaded by clicking on the link. Documents are accepted by filling in the appropriate checkbox.
17. By purchasing the products, you do not become entitled to use the trademarks, business names, logos, etc. of Imperity Ltd. or its contracted partners.
A. Ordering products
18. The display of the products in the Webshop is for information purposes only.
19. Imperity Ltd. may limit the number of certain products that can be purchased through the Webshop. The restriction is indicated by clicking on each product.
20. Before using the products, Imperity Ltd. strongly recommends seeking the opinion of a hairdresser, as in case of improper use, the products may even cause permanent deterioration of health.
21. After selecting the products, the User finalizes the order via the system that automatically pops up on the Website, by credit card payment.
22. You will receive a confirmation email within 48 hours of finalizing your order, which will include the exact details of the order as well as the date of delivery.
23. If you placed your order by mistake or it is not from you, please notify Imperity Ltd. immediately at webshop@imperity.it electronically.
24. The online payment is made on the payment service provider's own interface, so Imperity Ltd. does not see or get to know the User's bank card or other data provided for payment, it does not qualify as a data controller.
25. Finalizing your order is considered an offer, i.e. you cannot change your order from then on. If you cancel your order or withdraw from the contract (see Chapter VIII), the offer will also be terminated.
26. By finalizing the order, a contract is created between you and Imperity Ltd.
27. The contract concluded with the order is not considered to be in writing, it is not accessible, it will not be registered by Imperity Ltd. The language of the contract is Hungarian.
28. The conclusion of the contract becomes effective when the order is confirmed by Imperity Ltd., not with the order itself, i.e. if you do not receive a confirmation, the contract has not been concluded either.
29. You can find information about your previous orders in your registered user account, and you can easily repeat your previous orders by clicking on them.
30. If the product to be ordered is not in stock in sufficient quantity, Imperity Ltd. will not confirm the order and will notify the User thereof. In such a case, the paid purchase price or delivery fee will be refunded to the User immediately.
31. You may not place a new order or modify your order in response to the notification. This requires placing a new order.
32. The User has the option to set up inventory monitoring through his/her registration account, which allows him/her to track changes in the inventory of products to be ordered. If you have provided us with a valid e-mail address for this purpose, we will notify you when the product can be re-ordered.
33. To order the products included in the Webshop, the User must provide the following data:
a. In case the User is a natural person (private person)

- home address
- delivery address, if different from home address
- telephone number
b. In case the User is a non-natural person (company)

- e-mail address at work,
- billing address,
- delivery address, if different from the billing address.

34. The telephone number is required to contact you when the product is shipped.
B. Conditions of delivery
35. The order can only be fulfilled by delivery by Imperity Ltd. to the delivery address indicated by the User or to the FoxPost parcel terminal in Hungary. Imperity Ltd. provides deliveries by courier service.
36. The products ordered from the Webshop may be picked up by you or a person specifically designated in the order at the place indicated by you. Please indicate a location where you or the designated person will be available at the time indicated on the order confirmation.
37. The price of the products does not include the delivery fee.
38. We undertake to send a package up to a maximum of 40 kg within Hungary, the delivery fee (depending on the order value):
- Delivery fee for delivery to a FoxPost parcel automat (depending on the value of the order):
- for order values between 1,-Ft – 12.999,-Ft: 1.140,-Ft,
- for orders over 13.000,-Ft: 0,-Ft, that is free
- Payment on delivery fee, regardless of the order value: 300,-Ft
- Please note that if you choose a payment on delivery method, it is only possible to pay the value of the package at the parcel automat by bank card payment, the machine does not accept cash! In this case, we definitely recommend prepayment through the OTP Simple Pay system, which does not cause any additional cost for the customer.
- Delivery fee for home delivery:
- for order values between 1,-Ft - 14.999,-Ft: 2.390,-Ft
- for order values between 15.000,-Ft – 27.999,-Ft: 1.990,-Ft
- for orders over 28.000,-Ft: 0,-Ft, that is free.
- Cash on delivery to the courier, in cash, regardless of the order value: 300,-Ft

40. Imperity Ltd. forwards the personal data provided by the User at the time of ordering to the courier service for the purpose of performing the carriage, the User agrees to this at the same time as concluding the contract.
41. For information on the handling and processing of your data, see the Data Management Information, which can be downloaded from the Website or viewed at the following link: HERE
42. If the receipt of the product fails due to the User's own fault, Imperity Ltd. may withdraw from the contract and inform the User immediately.
43. The delivery time in Hungary is typically 2 working days, with the first delivery attempt being made by the courier service on the following working day for orders placed by noon on the given day. Orders placed after 12:00 noon on the given day will be delivered on the 3rd working day following the placing of the order.
44. Delivery outside Hungary takes several days - typically 4-6 working days, depending on the undertaking of the partner logistics companies, Imperity Ltd. does not take responsibility for any delay.
Imperity Ltd. is also not responsible if the reason for the delivery delay is that you have entered your data incorrectly.
45. The User may return the product only by using a courier service after prior written consultation with Imperity Ltd.
46. If the User is unable to receive the package within the specified time, Imperity Ltd. will try to deliver it once more, after which it is entitled to withdraw from the contract.
C. Terms of payment
47. In case of delivery address beyond the borders of Hungary: the User can pay the purchase price and the delivery fee online (Simple Pay) with a credit card when ordering.
Imperity Ltd. will start fulfilling the order and delivering it when the purchase price and the delivery fee have arrived in its bank account.
48. In the case of a delivery address within Hungary, the User may pay the purchase price and the delivery fee by credit card online (Simple Pay) when placing the order or in cash upon receipt of the goods in case of choosing the cash on delivery option. Attention: for cash on delivery we charge a 300 HUF cash on delivery fee!
49. The prices in the confirmation are final and include VAT and other costs. Price changes after the order is closed do not affect the order.
50. Upon receipt, the User is obliged to inspect the received package. If the User notices damage to the packaging, he must request that a report be made and refuse to accept the package.
51. Imperity Ltd. issues an electronic invoice in PDF format for the order, which is sent to the User as an e-mail attachment to the e-mail address provided. If the User requests a separate invoice for certain products, he must order them separately. The User may not otherwise request the transfer of the invoice.
52. If additional data is required to fulfill the order, or any of the User's - especially delivery data changes after the order, the User is obliged to communicate the data to Imperity Ltd. immediately.
53. If the User does not provide this information, he is solely responsible for the failure of the delivery.
D. Transfer of ownership
54. The User acquires ownership of the product by paying the full purchase price and receiving it.
55. Imperity Ltd. undertakes to allow the receipt of the product, together with the relevant documents.
56. The product shall be deemed to have been delivered at the time of delivery, after the handover has taken place.
V. Events, tutorials, trainings announced on the Website
57. Events, tutorials and trainings are also listed on the Website. These are sold by Imperity Ltd., similarly to its own products, and it provides information about them.
58. Information on purchasing these services and participating in events can be found on the Website in the detailed description available by clicking on the names of the events and trainings.
VI. Newsletter
59. The User has the opportunity to subscribe to the regular electronic newsletter containing the offers, news and novelties of Imperity Ltd. on the Website.
60. You can subscribe by entering your name and email address. You can unsubscribe from our newsletters by pressing the unsubscribe button.
61. The newsletter service is free.
VII. Protection of minors
62. If the User has not yet reached the age of 18, Imperity Ltd. recommends that an adult relative helps to interpret the provisions of these GTC before using the service. If the User has not reached the age of 16, the registration, newsletter subscription and approval of the cookie settings are subject to the prior consent of the legal representative.
63. For the legal representatives of minors: Users can use many services on the Website. The use of these services and the condition for registration on the Website is the age of 16, during which the prior consent of the legal representative is required. This rule also applies to those under guardianship that restrict their ability to act.
VIII. Consumers' right of withdrawal
64. Pursuant to Government Decree 45/2014 (II. 26.), the User (hereinafter: Consumer) who qualifies as a consumer has the right to withdraw from the contract, and can practice this right before the receipt of the products or within 14 days after receipt of the last piece. The 14 day period starts from the confirmation of the order in case of ordering from the Webshop.
65. Please always check the packaging of the product upon receipt, and if you see any defect or the shipment in not what you ordered, ask for a report and do not take over the product. In this case, return is not your cost.
66. The User can indicate his or her withdrawal to Imperity Ltd. by e-mail.
67. The model withdrawal form specified in Government Decree 45/2014 (II. 26.) is attached to these GTC. The Consumer is entitled, but not obliged, to use this to indicate the withdrawal.
68. In the event of the Consumer's withdrawal, Imperity Ltd. is obliged to reimburse the full purchase price and the related costs to the Consumer within 14 days. Reimbursement is made in the same way as the Consumer paid for the product.
69. If you order more than one product, of which only certain products are returned, the refund will be made in the amount corresponding to the purchase price of the returned products.
70. In case of withdrawal, the Consumer must return the product in the original packaging of the product. The fact of the return must be proved by the Consumer beyond a reasonable doubt, Imperity Ltd. will only make the refund after that.
71. The direct cost of return in the event of withdrawal shall be borne solely by the Consumer.
72. In case of a refund, Imperity Ltd. may deduct from the purchase price the amount by which the value of the product has decreased due to use.
73: The Consumer is not entitled to withdraw from the contract:
- in the case of a sealed product which, for reasons of health or hygiene, cannot be returned after opening after delivery;
- in the case of a product which has been manufactured on the basis of the User's instructions or at his/her express request, or in the case of a product which has been clearly tailored to the Consumer.
- According to the above, if the consumer opens the closed packaging of the product or takes over a damaged package, he/she will not be able to exercise the 14-day right of withdrawal, it will be lost.
IX. Warranty of supplies
74. If Imperity Ltd. does not fulfill its obligation in accordance with the order, the Consumer may enforce his claim for supplies warranty in accordance with the rules of the Civil Code.
75. The Consumer may choose to exercise the following supply warranty rights:
a. request the repair,
b. or replacement of the product,
c. in case of not having chosen the option of repair or replacement, he/she may request a proportionate reduction of the purchase price, or
d. can even repair the error him or herself or get it repaired by others at the expense of Imperity Ltd.
e. in the final case, the consumer can withdraw from the contract, ask for a refund of the price of the product.
76. The Consumer may divert from the chosen supply warranty right to another, however, the cost of this shall be borne by the Consumer, unless the reason for the transfer was given by Imperity Ltd. or if it was justified.
77. Please note that the error must be reported to Imperity Ltd. immediately after the detection of the error, but within a maximum of two months. After two years from the performance of the contract, your warranty claim cannot be enforced.
78. You can enforce your warranty claim directly against Imperity Ltd.
79. Within six months of the performance of the contract, if you prove that the product or service was provided by Imperity Ltd., it is sufficient to report the error, you have no other business to do.
80. However, six months after the performance of the contract, the User must prove that the defect already existed at the time of delivery.
X. Product warranty
81. Instead of the supply warranty set out above, you can use your product warranty claim.
82. Under the product warranty, the Consumer may only request the replacement or repair of the defective product.
83. A product is defective if it does not meet the quality requirements in force at the time of placing on the market or if it does not have the characteristics specified by the manufacturer.
84. Your product warranty claim can be enforced within two years of the product being placed on the market by the manufacturer.
85. A product warranty claim can only be enforced against the manufacturer or distributor of the defective product (Imperity Ltd.).
86. To do this, the Consumer must prove the defect of the product and that the defect already existed at the time of placing on the market.
87. The manufacturer or distributor shall only be released from his product warranty obligation if he can prove that:
- the product was not manufactured or placed on the market in the course of his business or that
- the defect was not recognizable in the light of current scientific and technical knowledge at the time of placing on the market, or
- the defect of the product results from the application of legislation or a mandatory official regulation.
88. A product warranty claim and a supply warranty claim cannot be asserted in parallel due to the same defect in the same product. However, supply warranty rights apply to the product replaced under the product warranty.
XI. Warranty
89. Imperity Ltd. does not provide a warranty for the products and services available on the Website and the Webshop.
90. Exceptions to this, if required by law, to the extent provided therein.
XII. Limitation of Liability, Force Majeure
91. Imperity Ltd. shall not be liable for damages arising from the use or operation of the Website and the Webshop, or for any of the following cases:
a. failure to receive data sent and / or received on the Internet; Internet network malfunctions,
b. failure of receiving devices or communication lines,
c. loss of any content or data,
d. incorrect or wrong provision of any data, in particular delivery data,
e. harmful conduct of any Consumer,
f. any damage or inconvenience resulting from a discrepancy between the laws, religious or other rules in force according to the consumer's foreign residence and the provisions of these GTC,
g. failure of any software or website, program errors,
h. consequences of extraordinary events or technical failures, including force majeure; as well as the fees of the User's Internet Service Provider, additionally the impossibility caused by the coronavirus pandemic or the related emergency situation, such as the impossibility of delivery due to a border lock, the impossibility of performance caused by quarantine, etc.
92. The prices on the Website are regularly checked by Imperity Ltd., however, it reserves the right to change prices or make any other changes due to obvious errors in calculation, editing or misspelling.

14. Complaint handling
94. You can contact Imperity Ltd. with your complaint at webshop@imperity.it.
95. Disputes shall be settled by the parties before the territorial conciliation body of the Consumer's place of residence, failing which the consumers may turn to the territorially competent district offices.
96. In case you have not received a satisfactory response to your remark from Imperity Ltd. or the manufacturer, you can file a complaint with the following conciliation bodies:

XV. Final provisions
97. These GTC override all normal commercial practices between the User and Imperity Ltd.
98. These GTC do not form part of a commercial practice that is considered to be widely known, but is not regulated by these GTC.
99. If any provision of these GTC subsequently becomes invalid due to a final court decision or legal provision, it does not affect the other clauses of the GTC, they remain in force unchanged.
100. Imperity Ltd. reserves the right to change the GTC. Any future changes will take effect by uploading the amended GTC to the website. Imperity Ltd. will send information about the change to the User's account in advance. Usage after the amendment of the GTC constitutes acceptance of the amendment.
101. The governing language of these GTC is Hungarian.
